1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Btcinout ("we," "us," or "our"), concerning your access to and use of the https://www.btcinout.xyz website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site") and the Partner HQ dashboard and associated services (the "Services").

You agree that by accessing the Site and/or Services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Site and Services and you must discontinue use immediately.

2. Partner Program

By registering as a partner, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Partner accounts are subject to approval by us. We reserve the right to approve or reject partner applications and to suspend or terminate partner accounts at our sole discretion, particularly in cases of fraud, violation of these terms, or inactivity.

As a partner, you agree to process assigned trades promptly and accurately according to the instructions provided in the dashboard. You are responsible for having sufficient local currency funds available to fulfill assigned trades.

3. Payments, Commissions, and Withdrawals

Partners earn commissions based on completed trades assigned to them, as detailed on our Benefits page or within the Partner HQ dashboard. Partners may also earn additional amounts based on a custom rate markup, if enabled and configured in their settings.

Earnings are credited to your Btcinout partner wallet in Satoshis (sats). You can request withdrawal of your available balance subject to minimum withdrawal amounts and applicable fees.

Withdrawal fees consist of a service fee (calculated as a percentage of the withdrawal amount) and any applicable Bitcoin network fees (on-chain or Lightning). Estimated fees are displayed before confirming a withdrawal. We are not responsible for fluctuations in network fees.

Withdrawals are processed to the Bitcoin address or Lightning invoice you provide. You are solely responsible for providing the correct destination information. We are not liable for funds sent to incorrect destinations provided by you. Payouts may require admin approval and processing times may vary.

4. User Representations

By using the Site and Services, you represent and warrant that:

  • All registration information you submit will be true, accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update such registration information as necessary.
  • You have the legal capacity and you agree to comply with these Terms of Service.
  • You are not a minor in the jurisdiction in which you reside (generally 18 years or older).
  • You will not access the Site or Services through automated or non-human means, whether through a bot, script or otherwise.
  • You will not use the Site or Services for any illegal or unauthorized purpose.
  • Your use of the Site and Services will not violate any applicable law or regulation.

5. Prohibited Activities

You may not access or use the Site or Services for any purpose other than that for which we make the Site and Services available. Prohibited activity includes, but is not limited to:

  • Systematically retrieving data or other content to create a collection, compilation, database, or directory without written permission from us.
  • Engaging in unauthorized framing of or linking to the Site or Services.
  • Interfering with, disrupting, or creating an undue burden on the Site or Services or the networks or services connected.
  • Attempting to impersonate another user or person.
  • Using any information obtained from the Site or Services in order to harass, abuse, or harm another person.
  • Engaging in any fraudulent activity related to trade completion or fund handling, including providing false payment confirmation details.
  • Using the Services as part of any effort to compete with us.

6. Intellectual Property Rights

Unless otherwise indicated, the Site and the Services are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

7. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Site or Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF SERVICE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE AND THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

8. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site or Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site or the Services.

9. Governing Law

These Terms of Service and your use of the Site and the Services are governed by and construed in accordance with the laws of Ghana applicable to agreements made and to be entirely performed within Ghana, without regard to its conflict of law principles.

10. Disclaimer

THE SITE AND SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
